AIRI loci is operated by HongKong AlRl Technology Limited ("AIRI loci," "we," "us," or "our"), with its registered address at Room 803B, 8/F., West Coast International Building, 290-296 Un Chau Street, Cheung Sha Wan, Kowloon, HONG KONG. These Terms govern the US service environment of our AI creation and collaboration services, including the website and desktop modeling application, and form an agreement between you and us. We use your IP address to identify an initial service environment among CN, US, and EU, and you may select the US or EU environment. An account and a workspace are assigned a home region when created. Under the current service design, that assignment is fixed, and subsequent requests for the account or workspace are routed to its assigned region. Changing the region selector or accessing the Services from another location does not automatically migrate an existing account, workspace, or its content, or create a copy of the account in another region. Region selection does not change your place of residence or waive rights under mandatory applicable law. Selecting the US region does not change your contracting party. Personal information is processed as described in our Privacy Policy.
Please read these Terms before registering, purchasing, or using the Services, particularly the provisions on subscriptions, content rights, third-party services, limitations of liability, termination, and dispute resolution. You accept these Terms when you affirmatively agree to them through the registration or purchase process. If you act on behalf of an organization, you represent that you have authority to bind that organization.
Our Privacy Policy explains how personal information is handled. Applicable plan and billing terms displayed at purchase, acceptable use requirements, AI content notices, and feature-specific terms supplement these Terms. A separately signed enterprise agreement or specific service agreement controls to the extent it expressly provides otherwise. Nothing in these Terms limits rights or remedies that applicable law does not permit us to waive or restrict.
1 The Services and key terms
AIRI loci provides workspaces, projects, pages, and Agent capabilities for AI-assisted creation and collaboration. Depending on the available features, it can process text, images, audio, video, documents, presentations, HTML, and other supported content, and call models and tools to perform your tasks.
A workspace is a work area for managing projects, collaborating members, permissions, usage, and storage. A project organizes creative work and may contain multiple pages, uploaded materials, and project memory. A page is an expandable creative canvas for assets, frames, and related operations. An asset is text, a file, an image, audio, video, HTML, or other supported material uploaded, generated, or added to a page.
Input means instructions, prompts, files, materials, data, and other content submitted by you or authorized users. Output means content generated, transformed, organized, or edited by the Services in response to Input. Input and Output are collectively User Content. Models and tools are the AI, search, generation, parsing, storage, and other processing capabilities provided or called by AIRI loci to perform a task.
We may add, adjust, replace, or discontinue models, tools, features, interfaces, usage limits, and output formats. Material changes affecting purchased core benefits are subject to applicable law and the notice and service-change provisions below.
Subject to these Terms, we grant you a limited, nonexclusive, nontransferable, nonsublicensable license to access and use the Services during the applicable service period in the ways we make available. We and the relevant rights holders reserve all rights not expressly granted.
2 Eligibility and accounts
You must have the legal capacity or valid parental or guardian authorization required to use the Services and enter into these Terms under applicable law. AIRI loci is primarily intended for adults. If you are under 18, your parent or legal guardian must read and agree to these Terms with you, authorize and supervise your use, and separately authorize paid purchases where required. Where applicable law requires a parent or guardian to enter into the contract on your behalf, that person must do so. You may not use a feature where its minimum-age or legally required consent conditions have not been met. Registration alone does not establish your age or prove parental or guardian consent. The Privacy Policy explains how we handle children's personal information.
You may register or sign in using Google, Microsoft, or an email one-time passcode (OTP). Provide accurate and current account information and safeguard your account, verification codes, sign-in credentials, and devices. Unless expressly supported by our organization-management or account-transfer features, an account may be used only by its registered user or an authorized account holder. You are responsible, to the extent provided by applicable law and attributable to you, for misuse resulting from sharing credentials or permitting unauthorized access. Notify us promptly if you suspect compromise.
3 Workspaces and collaboration
Access, editing, sharing, invitations, administration, and usage are governed by the roles and permissions shown in the product. Workspace roles and project permissions operate at different levels; changing one does not automatically change the other unless the product states otherwise.
A workspace super administrator may view and manage all projects in that workspace, even when other members have no access. The workspace super administrator and the project creator are fixed project managers whose management permissions cannot be removed or reduced while they hold those roles, subject to the supported departure and succession processes. Authorized workspace administrators may manage, transfer, or delete relevant projects, pages, assets, membership, and usage information under the product's permissions. Administrative access does not itself transfer intellectual property rights.
Invite members and set permissions carefully. A project invitation link may be successfully accepted once and expires as indicated in the product. Recipients must register or sign in. A read-only recipient may view the project but may not edit, copy, export, share, invite members, or initiate credit-consuming tasks in it. Revoking access does not necessarily remove copies or records a recipient previously lawfully obtained.
When a member leaves or is removed, management of their created content passes by default to the workspace super administrator. Where supported, the departing member may select another workspace member as successor. The departing member loses access to the relevant workspace and projects. Ownership remains subject to applicable law and agreements between the member and the organization. Keep appropriate backups or exports of important work; this does not excuse any responsibility we cannot lawfully exclude.
4 User Content and intellectual property
Your rights and responsibilities
You retain the rights you lawfully hold in Input. You represent that you have the rights, permissions, and lawful basis needed to submit, use, and authorize processing of Input, including where it involves copyright, trademarks, patents, trade secrets, likeness, name, voice, privacy, or personal information.
To the extent permitted by applicable law and without affecting third-party rights, you own the rights in Output specifically generated from your Input that may lawfully belong to you. To the extent we own transferable rights in that Output, we assign them to you. This does not transfer rights in our models, tools, software, platform materials, third-party content, or other users' content. Workspace management, succession, or transfer does not by itself confer intellectual property ownership.
AI Output may not qualify for copyright or other exclusive protection and may resemble content generated for others. We do not guarantee uniqueness, registrability, commercial usability, or freedom from third-party claims. You must decide whether and how to use Output after appropriate review.
Permission to provide the Services
You grant us and service providers acting as necessary to deliver the Services a worldwide, nonexclusive, royalty-free license to host, reproduce, transmit, convert, format, display, and process User Content only as reasonably necessary to carry out your instructions, provide and maintain the Services, support collaboration and sharing, protect security, address complaints, and comply with law. This license does not transfer your ownership. The worldwide scope of this limited intellectual-property license does not override the US data residency and remote-access commitments in Section 6 of the Privacy Policy.
Unless you share content or separately authorize it, the service license does not permit disclosure of nonpublic User Content to unrelated third parties. We do not sell nonpublic User Content as standalone material, and we do not use customer content or customer projects as public case studies or promotional materials. We do not use your Input, uploaded files, Output, personal memory, project memory, or other User Content to train AI models, and we do not permit providers processing that content on our behalf to use it for model training. Processing needed to perform your tasks, store your content, protect the service, or comply with law is described in the Privacy Policy; the no-training commitment does not mean that content is never transmitted or retained.
A limited number of authorized personnel subject to confidentiality obligations may access relevant original content only as needed to respond to a support request you initiate, investigate security or abuse, troubleshoot a specific fault, or meet legal obligations. We apply access controls and retain access records. This access does not authorize model training by AIRI loci. Authorized employees outside the United States may remotely access the US environment for necessary operational work only within the limits described in Section 6 of the Privacy Policy. This is not permission to relocate service data or retain operational copies outside the United States.
This license continues only for the purposes described above and ends after the relevant content is deleted or the service relationship ends, except to the extent necessary to complete deletion and backup processes, comply with law, resolve disputes, maintain security, or handle copies lawfully retained by recipients with whom you shared the content.
Directed sharing and platform materials
AIRI loci does not currently provide a public community, a publication area open to the internet, or search-engine-indexed public projects. A "public project" is accessible only to appropriately authorized members of its workspace. Sharing through invitations authorizes the hosting, display, permission checks, and content governance needed for that sharing while it remains active.
We may use voluntarily provided feedback to improve the Services without identifying you or violating confidentiality obligations, subject to any feature-specific terms. Rights in AIRI loci software, systems, interfaces, documentation, branding, and platform materials belong to us or the applicable rights holders. User-created materials remain governed by the User Content provisions.
5 Agent models and third-party services
An Agent may, within your task and permissions, read relevant conversations, projects, pages, attachments, selected content, and supported context; call models, web search, tools, or external APIs; and return results to AIRI loci. The desktop modeling application may perform authorized modeling operations using files and application context you permit it to access on your device. Model inference remains part of the connected service, and task-related data and deliverable results may be transmitted to AIRI loci and the necessary providers. AIRI loci does not currently act for you to send messages, publish, purchase, trade, or otherwise operate external online accounts. Authorized local modeling and file operations are distinct from such external-account actions. Review the relevant task and results before further use.
Available models and tools may change with product capabilities, user selection, region, and technical availability. Providers may impose their own usage restrictions or regional limits. We use service providers to deliver AIRI loci and remain responsible for obligations that applicable law imposes on us. Independent services that you choose to connect to or visit may be governed by separate terms and privacy policies. Nothing in these Terms excludes our nonwaivable obligations.
Output may be inaccurate, incomplete, outdated, biased, inappropriate, or unsuitable. It is not medical, legal, financial, engineering, safety, or other professional advice. Do not rely on it for decisions materially affecting people, property, rights, or public safety without appropriate human review and professional judgment. Verify facts, sources, permissions, and suitability. Architectural, design, engineering, and other professional work should be reviewed by appropriately qualified people.
6 Plans payments credits and storage
Purchases and subscriptions
Applicable plans, prices, currency, taxes, benefits, credits, storage, billing periods, renewal terms, and restrictions are displayed at purchase. Benefits belong to the workspace selected at purchase and are not automatically personal to an individual member. Only the workspace super administrator may purchase, upgrade, downgrade, cancel, or repurchase a plan, purchase additional credits, or manage payment information.
Paid offerings include an automatically renewing monthly subscription, a one-time monthly plan, a one-time annual plan, and credit packs. Only the automatically renewing monthly subscription renews each month, with your express authorization, until canceled. A one-time monthly or annual plan covers the purchased month or year and does not renew automatically; you must make a new purchase to continue it. Credit packs are one-time purchases of additional credits and do not create a recurring payment obligation. New purchases and immediate upgrades take effect after successful payment. Downgrades, cancellation of future renewal, and certain plan switches take effect at the end of the current billing period, as shown when confirmed. Canceling future renewal does not prevent continued use of benefits already paid for through their applicable term.
You may cancel automatic renewal of a recurring monthly subscription before the next renewal charge using the Cancel subscription control in Workspace settings > Billing, subject to the workspace billing permissions described above. Cancellation takes effect at the end of the current paid billing period, and paid benefits continue through that period. The next billing date, renewal amount, currency, applicable time zone, and any relevant cancellation deadline will be shown before you authorize recurring payment and in billing information. We provide the confirmations, reminders, price-change notices, and cancellation methods required by applicable law. We will obtain further consent where required.
Renewal payments are processed through Stripe using the subscription and collection settings applied to your purchase. The renewal date, amount, currency, and billing terms shown at checkout and in your billing information govern the authorized charges. Failed payments may be retried under the configured collection process, subject to your authorization, cancellation, and applicable law. A failed payment does not necessarily end paid benefits immediately. Access may be restricted if payment remains unresolved or the subscription reaches a status that no longer provides paid benefits. Your current subscription and payment status is reflected in billing information. A price change applies only to purchases or renewals after it takes effect and does not alter the price or benefits of an already paid subscription period.
Credits and task billing
Credits provide access to specified metered features. They are not deposits, currency, securities, or freely cash-redeemable financial instruments. Plan credits and purchased additional credits belong to the workspace, are shared by its members, and are displayed separately. The validity period of credits and the rules governing their expiry are those clearly displayed on the relevant page before you purchase or claim the credits concerned. Subsequent changes to page rules will not retroactively shorten the validity period of credits you have already obtained. Credits with the earliest expiry are used first, regardless of source. Ending a paid plan does not itself erase unexpired credits.
Before a metered call, the system may check and reserve credits. Successful execution settles the corresponding reserved credits; failure releases them. Partial success is charged only for the successfully delivered portion. Regeneration or rerunning a workflow is a new execution. Deleting a result or undoing a page action does not reverse completed usage. Because an Agent's path and number of calls may not be known in advance, we do not promise a total estimate before an Agent task; charges are based on actual model, tool, and external API calls and system records.
Credit consumption rates may change with costs, provider pricing, capabilities, billing units, or service offerings. A change does not reduce the numerical balance of existing credits but may change how many credits future calls consume. Calls already initiated are not repriced retroactively. For an Agent task already in progress, calls initiated after a rate change takes effect may use the new rate, so different calls in one task may be charged differently. We provide advance notice of changes materially increasing rates or affecting purchased benefits, identifying the effective date, scope, and principal impact, and obtain consent where required.
Uploading a file uses storage but does not itself use credits. Model or tool processing of the file may use credits. Insufficient credits prevent new metered tasks and may pause an ongoing task; supported tasks may resume when enough credits become available. Member limits and detailed consumption records are governed by the product's billing and usage rules.
Storage payments and refunds
When storage reaches or exceeds the applicable allowance, we may limit uploads, generation, or other operations that increase storage. Existing content is not automatically deleted merely because the allowance is exceeded, except as separately disclosed or permitted by law and the termination provisions.
Payments for the US service are processed through Stripe using the payment methods displayed at checkout. Unsuccessful purchases do not activate the relevant benefits. Renewal failures, expiry, and failed changes are reflected in the final billing status. Refund eligibility depends on the purchase, payment status, credit usage, the AIRI loci refund rules disclosed at purchase, and applicable law. Used credits and completed services are generally nonrefundable except where law or the applicable refund policy requires otherwise. Approved refunds ordinarily return to the original payment method. Canceling or scheduling a downgrade does not itself create an immediate refund.
Receipts and any available invoices may be requested at contact@airilab.com. We may request the order and billing information reasonably necessary to issue them. Available documents and tax treatment depend on the transaction and applicable requirements; the current product does not provide self-service invoice issuance.
We may apply reasonable rate, frequency, concurrency, storage, file, or automation limits to maintain safety, availability, and fair use. Responses to abuse may include warnings, throttling, task pauses, feature restrictions, or suspension. Measures must be proportionate and consistent with applicable law and purchased core benefits.
7 Acceptable use
You must not use or assist others to use the Services to violate applicable law; infringe intellectual property, privacy, publicity, or other rights; commit fraud, harassment, impersonation, or unlawful discrimination; exploit or endanger minors; create or distribute unlawful sexual, violent, terrorist, or other harmful content; or misrepresent AI-generated content as human-created where disclosure is required.
You must not access accounts or systems without authorization, distribute malware, attack or interfere with networks, evade security or usage limits, reverse engineer or decompile the Services except to the extent protected by applicable law, or scrape or automate access without permission. You must not remove or circumvent legally required source information, safety labels, watermarks, or AI provenance information.
Without our written permission, you must not use bulk, automated, or other abnormal access to obtain Output, nonpublic platform materials, system prompts, model behavior, or technical information to train, develop, evaluate, or improve a model or service directly competing with AIRI loci. This does not prohibit lawful ordinary use of your own Input, individual Output, or project results for creation, research, or business.
Do not use the Services for automated decisions materially affecting rights, safety, employment, credit, health care, legal matters, or access to essential services without the lawful basis, qualified review, and safeguards required for that use. We may publish more specific rules and respond proportionately to violations, including restricting features or access, removing content, or terminating service, subject to applicable law.
8 AI labels complaints and appeals
Depending on content type, functionality, and applicable requirements, AIRI loci adds visible AI notices in the interface or content and provenance information in supported file metadata. Applicable information is preserved when generating supported downloads, copies, or exports. You must comply with the disclosure and provenance obligations applicable to your use and must not unlawfully remove or falsify required identifiers.
Workspaces that have previously successfully purchased a paid plan may apply through the supported process for an export without a visible AI label; trial workspaces may not. This option is available only where permitted by applicable law and provider restrictions. It does not remove AIRI loci's internal AI-origin status, required embedded metadata, or required traceability records. Public distribution may still require your own AI disclosure and the receiving platform's labeling tools.
Report suspected unlawful content, infringement, abuse, or a service decision you wish to challenge to contact@airilab.com. Identify the content or action, explain the issue and requested outcome, and provide reliable contact details. For rights complaints, provide relevant evidence of ownership or authority. We may verify identity, authority, and facts and will review and respond as required by applicable law. Where warranted, we may stop generation or transmission, remove or restrict content, or take other lawful measures. You may appeal by identifying the original decision and supplying reasons and supporting information.
9 Changes suspension and termination
We may change, suspend, or discontinue a feature because of maintenance, security, provider changes, law, or business changes. For material effects on purchased benefits, we will provide notice and, as appropriate or required, continued performance, an alternative, a refund, or another lawful remedy. We may restrict or suspend use for a reasonably suspected violation, fraud, abuse, security risk, or infringement; serious or uncorrected issues may lead to termination. We provide notice and an opportunity to appeal where required by law.
You may stop use, cancel future subscription renewals, leave a workspace, or request account deletion. If you are a workspace's sole super administrator, transfer that role or handle the workspace through the supported process before closing the account. Closing an account immediately disables it and starts a 30-day recovery period; contact support to request recovery. After that period, deletion or de-identification proceeds as described in the Privacy Policy, subject to lawful retention exceptions. Statutory privacy requests are handled under the Privacy Policy and are not conditioned on an indefinite transfer process.
Deleting a workspace starts a 30-day recovery period. The super administrator may contact support to request recovery of the workspace and associated projects, pages, and content. After that period, the content is no longer recoverable through the product and enters the deletion process described in the Privacy Policy. Applicable lawful retention and backup exceptions remain. Subscription and credit validity continue to run during recovery and do not pause or extend. After permanent workspace deletion, remaining credits and unused benefits expire with that workspace, except to the extent law or the refund policy requires otherwise.
Automatic renewal stops when a workspace enters its recovery period. Restoring the workspace does not restore recurring-payment authorization; the super administrator must actively authorize it again.
10 Disclaimers and limits of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES, MODELS, TOOLS, AND OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT TO THAT EXTENT. WE DO NOT GUARANTEE UNINTERRUPTED, ERROR-FREE, DELAY-FREE, OR COMPLETELY SECURE SERVICE, OR THAT OUTPUT IS ACCURATE, COMPLETE, CURRENT, UNIQUE, COMMERCIALLY USABLE, OR SUITABLE FOR YOUR PURPOSE.
To the extent permitted by law, we are not responsible for interruptions or failures caused by announced short maintenance or matters outside our reasonable control, such as network failures or independent third-party disruptions. These exclusions do not excuse our own obligations that cannot lawfully be excluded.
To the extent provided by applicable law and attributable to your fault or responsibility, you are responsible for reasonable third-party claims and losses arising from your unlawful use, breach of these Terms, or infringement through your User Content. Any obligation to reimburse us or affected parties is limited to losses legally recoverable from you and does not require you to indemnify a party for liability that cannot lawfully be shifted to you.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF THESE TERMS OR THE SERVICES IS LIMITED TO THE AMOUNT YOU ACTUALLY PAID US FOR THE RELEVANT PAID SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. TO THAT EXTENT, WE ARE NOT LIABLE FOR INDIRECT, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. THESE LIMITS DO NOT APPLY WHERE PROHIBITED BY LAW AND DO NOT DEPRIVE YOU OF NONWAIVABLE CONSUMER RIGHTS OR REMEDIES.
11 Governing law and dispute resolution
Subject to mandatory applicable law and nonwaivable consumer rights, these Terms are governed by the laws of the Hong Kong Special Administrative Region. The parties will first seek an amicable resolution of disputes. If unsuccessful, disputes arising out of or relating to these Terms will be finally resolved through arbitration administered by the Hong Kong International Arbitration Centre (HKIAC). The HKIAC Administered Arbitration Rules effective on the date the Notice of Arbitration is submitted will apply. Hong Kong is the seat of arbitration, and Hong Kong law governs the arbitration agreement. The award is final and binding to the extent permitted by applicable law. This provision does not exclude a court, regulator, remedy, or right that applicable law does not permit the parties to exclude.
12 Changes to these Terms
We may update these Terms for changes in law, the product, technology, business arrangements, or risk controls. We will publish the updated version with an effective date. Changes take effect on that date, not merely on publication if the dates differ. For material changes affecting existing rights or obligations, we provide reasonable advance notice through the product, email, or another appropriate channel and obtain agreement where required by law.
If you do not agree to a change, you may stop using the affected Services and cancel future renewal. Purchased but unperformed services and unused benefits will be handled under applicable law, the terms applying to that purchase, and the change notice. Continued use is not a substitute for consent or confirmation that the law requires us to obtain separately.
13 Other provisions
If a provision is unenforceable, the remaining provisions continue to the extent permitted by law. A delay in enforcing a right is not a waiver. You may not transfer the agreement or an account without our written consent except through supported features. We may transfer this agreement in a lawful merger, restructuring, business transfer, or affiliate reorganization, subject to applicable law and privacy obligations.
Events beyond reasonable control may excuse performance only to the extent permitted by law; affected parties must take reasonable steps to reduce the effects. You must comply with export controls and sanctions applicable to your use, including applicable Chinese and United States restrictions. This clause does not authorize activity prohibited by law.
We may send service, transaction, security, and legal notices through the product, email associated with your account, or other lawful channels. Electronic records and notices have legal effect to the extent provided by applicable law. For personal-information matters, the Privacy Policy and mandatory applicable law govern in the event of a conflict.
14 Contact
For account, payment, privacy, content-rights, complaint, or appeal requests, email contact@airilab.com. Our Discord community may provide general support, but formal legal and privacy requests should be sent to that email. We may request information reasonably necessary to verify identity or authority and process your request; statutory procedures and deadlines take precedence over general support processes.
